The amended certificate of incorporation is a modified version of the original certificate of incorporation. The amended certificate is drafted after a discussion with the board of directors and approval of them. The amendments then go to a vote and the vote decides whether the amendments are to be made or not. The amendments are made by filling out a form or by drafting the entire document.
The amended certificate of incorporation may have few basic changes like change in name and address of the corporation. The other amendments that could be made are with regard to the shares in the company or corporation, the capital fund that is stated and the election of directors. The amendment of the certificate of incorporation also has a fee attached to it. The company may decide to keep various copies of the amendments made or may also have it incorporated into a single document.
