A Certificate of Formation Agreement is one that is necessary for a company that wants to register as a limited liability company in the State of Delaware, United States of America. The agreement is entered into between the designated official of the office of the Secretary of State of Delaware and the company that desires to get itself registered as a Limited Liability Company.
The Certificate of Formation Agreement contains four major clauses that need to be specified by the company entering into the agreement with the State. The four clauses are complete and correct name of the limited liability company, address of the registered office of the company in the Delaware State, Effective date of dissolution of the company if applicable and the fourth clause includes any additional information that the company wishes to communicate to the Secretary of Delaware.
